Terms of Service

This is an agreement between Pinby, LLC, a Delaware limited liability company ("Pinby"), the owner and operator of the Pinby application (collectively, all software and content provided by Pinby through the Pinby application and the Pinby site, pinby.app, known as the "Service"), and you ("you" or "You"), a user of the Service. These Terms of Service form a binding "Contract" between you and us.
1. Your Acceptance
BY USING THE SERVICE, YOU ACKNOWLEDGE AND AGREE TO THESE TERMS OF SERVICE, AND PINBY'S PRIVACY POLICY, WHICH CAN BE FOUND AT pinby.app/privacy, AND WHICH ARE INCORPORATED HEREIN BY REFERENCE. If you do not agree with any of these terms, you may not use the Service.
As our business evolves, Pinby may change this Contract. If we make a material change, we will provide reasonable notice prior to the changes by posting a notice here, and the revised terms will become effective on the date set forth in our notice. If you use the Service after that date, your use constitutes acceptance of the revised terms. You can review the most current version of the Contract at any time by visiting this page. If any change is not acceptable to you, your only remedy is to deactivate your account and stop using the Service.
By using the Service, you represent and warrant that:
- You are at least 13 years old, and if you are under the age of majority in your jurisdiction, you have received permission from a parent or legal guardian to use the Service.
- You have the legal capacity to enter into and comply with this Contract.
- Any registration or account information you provide is true, accurate, current, and complete, and you will keep it accurate and up to date.
- You will not use the Service for any illegal or unauthorized purpose.
If you provide information that is untrue, inaccurate, outdated, or incomplete, Pinby may suspend or terminate your account and refuse any current or future use of the Service.
2. Pinby Service
This Contract applies to all users of the Pinby Service. Any modifications and new features added to the Service are also subject to this Contract. Pinby reserves the right to modify or discontinue the Service or any feature or functionality thereof at any time without notice to you. All rights, title and interest in and to the Service and its components (including all intellectual property rights) will remain with and belong exclusively to Pinby.
3. Access and Use of the Service
You may access and use the Service only for lawful purposes and in accordance with this Contract. You shall comply with any codes of conduct, policies, or other notices Pinby provides or publishes in connection with the Service; if any of those policies materially change the Contract, Pinby will provide reasonable notice as described in Section 1. You shall promptly notify Pinby if you learn of any security breach related to the Service.
You shall not, and shall not permit any third party to, upload, post, submit, or otherwise distribute through the Service any content, or take any action, that:
- infringes any patent, trademark, trade secret, copyright, right of publicity, or other right of any person or entity
- is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, obscene, or offensive
- constitutes unauthorized or unsolicited advertising, junk or bulk email, or spam
- involves commercial activities such as contests, sweepstakes, barter, advertising, or pyramid schemes without Pinby's prior written consent
- contains viruses or any other code designed to disrupt, damage, or gain unauthorized access to any system, data, or information
- impersonates any person or entity, including any Pinby employee or representative
You shall not:
- Access the Service through bots, scripts, crawlers, scrapers, or any automated means, or access Pinby's APIs outside of the official Pinby application.
- Systematically collect, extract, or harvest data from the Service, or use any data obtained from the Service for commercial purposes without Pinby's prior written consent, including to build competing products or services.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, or algorithms of any part of the Service, except to the limited extent applicable law prohibits such a restriction.
- Bypass or circumvent any security measures, rate limits, or access controls, or interfere with the proper working of the Service.
- Take any action that imposes an unreasonable or disproportionately large load on Pinby's infrastructure or that of its service providers.
- Create multiple accounts to circumvent restrictions (including free trial limits), share or transfer account credentials, use another person's account without authorization, or misrepresent your identity or affiliation.
- Engage in any other activity that Pinby reasonably determines to be harmful to the Service, its users, or its infrastructure.
Subject to this Contract, Pinby grants you a personal, non-exclusive, non-sublicensable, non-transferable license to use the Pinby application (the "Software") solely to access the Service. The Software contains proprietary and confidential information protected by intellectual property and other laws. You shall not modify, translate, or create derivative works of the Software, or copy, rent, lease, distribute, or transfer any rights granted under this Section. All rights not expressly granted are reserved by Pinby.
Pinby reserves the right to investigate and take appropriate action against anyone who violates this Section, including suspending or terminating accounts, removing content, reporting activity to law enforcement, and pursuing civil remedies. Pinby's failure to enforce any provision is not a waiver of its right to do so later.
4. Copyright and DMCA Policy
We take the intellectual property rights of others seriously. Pursuant to the Digital Millenium Copyright Act (17 U.S.C. § 512), we have established a process to address claims of copyright infringement. If you own a copyright or have authority to act on behalf of a copyright owner and wish to report a claim that a third party is infringing that material on the Service, please send written notice to our copyright agent with the following information:
- A description of the copyrighted work that you claim has been infringed
- A description of the material you claim is infringing and that you want removed or access disabled and the URL or location of that material
- Your address, telephone number, and email address
- A statement by you that you have a good faith belief that the use of the copyrighted material you are complaining of is not authorized by the copyright owner, its agent, or the law (e.g. as a fair use)
- A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf
- An electronic or physical signature of the copyright owner or a person authorized to act on the owner's behalf

In appropriate circumstances, we may disable or terminate the accounts of users who may be repeat infringers.
5. App Stores
If you download our mobile application ("App") from a third party app store ("App Provider"), such as the Apple App Store or Google Play, you acknowledge and agree to the following:
- This Contract is an agreement between us, and not with the App Provider, and we are solely responsible for our App and Service.
- The App Provider has no obligation whatsoever to furnish any maintenance and support services with respect to our App.
- The App Provider is not responsible for addressing any claims you have relating to the App or your possession and use of the App.
- In the event of any third party claim that the App or your possession or use of the App infringes another party's intellectual property rights, we will be responsible for the investigation, defense, settlement and discharge of any such claim to the extent required by this Contract.
- The App Provider and its subsidiaries are third party beneficiaries of this Contract as it relates to your license to the App. Upon your acceptance of this Contract, the App Provider will have the right (and will be deemed to have accepted the right) to enforce this Contract as related to your license of the App against you as a third party beneficiary thereof.
- You must also comply with all applicable third party terms of service when using the App.
6. Subscriptions
Certain features of the Service are available only to users with an active paid subscription ("Authorized Users"). A subscription entitles the Authorized User to access the features described at checkout for the term specified there. Subscriptions are subject to renewal and cancellation as described in Section 7.
7. Payment and Renewal
Pinby subscriptions purchased through the Apple App Store or Google Play are billed by Apple or Google, respectively, and are governed by their terms. Your subscription automatically renews at the end of each billing period at the then-current price unless canceled at least 24 hours before the end of the current period through your Apple ID or Google Play account settings. Refunds, if any, are handled by Apple or Google per their policies. Pinby cannot directly issue refunds for App Store purchases. If your subscription includes a free trial, your subscription will automatically convert to a paid subscription at the end of the trial period unless canceled before the trial ends. You may manage or cancel your subscription at any time through your app store account settings.
If you purchase a subscription directly from Pinby (rather than through an app store), fees are specified during check-out and must be paid in advance. Payment obligations are non-cancelable and except as required by applicable law, fees paid are non-refundable. For example, if you cancel your subscription, you are responsible for any unpaid fees from the subscription, and Service under the subscription will be deemed fully performed and delivered upon expiration of the subscription term. All subscriptions automatically renew for additional periods equal to one year or the preceding term, whichever is shorter, and the per-unit pricing during any automatic renewal term will remain the same as it was during the immediately prior term. Either party can give the other notice of non-renewal before the end of a subscription term to stop the subscription from automatically renewing. If any fees owed to Pinby by you (excluding amounts disputed reasonably and in good faith) are thirty days or more overdue, Pinby may, without limiting its other rights and remedies, terminate your subscription until those amounts are paid in full. You acknowledge and agree that loss of a subscription will result in a decrease in certain features and functionality, as well as potential loss of access to data.
Fees are stated exclusive of any taxes, levies, duties, or similar governmental assessments of any nature, including, for example, value-added, sales, use, or withholding taxes, assessable by any jurisdiction ("Taxes"). You are responsible for paying all Taxes associated with your subscription, except for those taxes based on Pinby's net income.
Any credits that you accrue to your account will expire following expiration or termination of the subscription, will have no currency or exchange value, and will not be transferable or refundable.
8. Intellectual Property Rights
The design of the Service, the contents of the Service, including but not limited to text, graphics, images, advice, recommendations ("Contents"), the trademarks, service marks and logos contained therein ("Marks"), are owned by or licensed to Pinby, subject to copyright and other intellectual property rights under United States and foreign laws and international conventions. The Service is provided to you AS IS for your information and personal use only. Pinby reserves all rights not expressly granted in and to the Service. You agree to not engage in the use, copying, or distribution of any of the Service other than expressly permitted herein.
If you send us any feedback or suggestions regarding the Service, you grant Pinby an unlimited, irrevocable, perpetual, free license to use any such feedback or suggestions for any purpose without any obligation to you.
9. User Content
The Service lets you create and submit content ("User Content"). You retain ownership of your User Content. By submitting User Content, you represent and warrant that:
- You own your User Content or have the necessary rights to submit it.
- Your User Content does not infringe any third party's intellectual property, privacy, publicity, or other rights.
- Your User Content is not unlawful, defamatory, harassing, hateful, obscene, or otherwise in violation of Section 3 of this Contract.
- Your User Content is not knowingly false or misleading.
- Content you import from third-party services is publicly accessible or you otherwise have the right to save and use it.
You grant Pinby a non-exclusive, worldwide, royalty-free, sublicensable (solely to our service providers acting on our behalf) license to host, store, cache, reproduce, adapt (for format and display purposes), and distribute your User Content solely to operate, provide, improve, and promote the Service, including making your User Content available to other users you choose to share it with through Service features. This license terminates when you delete your User Content or your account, except that Pinby may retain backups and anonymized or aggregated data as reasonably necessary.
Pinby may remove or restrict access to any User Content at any time, with or without notice, if Pinby reasonably believes it violates this Contract or applicable law.
Pinby does not endorse or assume responsibility for User Content submitted by users. You are solely responsible for your User Content and the consequences of submitting it.
To the extent permitted by applicable law, you waive, and agree not to assert, any moral rights you may have in your User Content against Pinby or those acting on its behalf.
10. Consent to Receive Communication
As part of the Service, you may receive from us email and other communications (e.g., SMS messages) relating to your use of our Service. By disclosing this contact information or otherwise sending electronic communications through the Service, you acknowledge and agree that we may send you communications through registered mail, email and other electronic communications, SMS messages, voice calls or otherwise, that we determine, in our sole discretion, are related to your use of the Service, and for as long as you do not unsubscribe from receiving such communications. As part of using the Service you agree to receive all agreements, notices, disclosures and other communications that we provide to you in electronic form, and acknowledge that receipt of such documents in electronic form satisfies any legal requirement that such communications be in writing.
No computer or communication lines are perfectly secure and our security measures can only serve to help minimize the risk of security issues. BY SENDING ANY CONFIDENTIAL OR PERSONAL INFORMATION TO US VIA EMAIL OR TEXT, OR AGREEING TO RECEIVE ELECTRONIC COMMUNICATIONS FROM US THROUGH EMAIL OR TEXT, YOU ACKNOWLEDGE AND ACCEPT ANY RISK AND DAMAGE ARISING FROM DISCLOSURE OF SUCH INFORMATION IN THE COURSE OF TRANSMISSION.
11. Disclaimer of Warranties
The Service may be temporarily unavailable for scheduled maintenance or for unscheduled emergency maintenance, or because of other causes beyond our reasonable control, but Pinby shall use reasonable efforts to provide advance notice of any material scheduled service disruption. Further, you understand that your information may be transmitted or handled in an unencrypted manner if you choose to use unencrypted gateways to connect to the Service. Additionally, while Pinby takes steps to ensure that information provided to its third party vendors and hosting partners is transmitted using reasonable security measures, it does not guarantee that these transmissions will be encrypted. Accordingly, you acknowledge that you bear sole responsibility for adequate security, protection and backup of your information. Pinby will have no liability to you for any unauthorized access or use of any of your information, or any corruption, deletion, destruction or loss of any of your information.
THE SERVICE AND ALL RELATED COMPONENTS AND INFORMATION ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, AND PINBY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PINBY MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS SERVICE'S CONTENT AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR (I) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICE, (II) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN, AND/OR (III) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE THROUGH THE ACTIONS OF ANY THIRD PARTY. YOU ACKNOWLEDGE THAT PINBY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR VIRUS-FREE, NOR DOES IT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICE, AND NO INFORMATION, ADVICE OR SERVICES OBTAINED BY YOU FROM PINBY OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS CONTRACT.
12. Third-Party Services and Links
The Service includes links to, integrations with, and content obtained from third-party websites, services, and applications, including but not limited to mapping and navigation services, social media platforms, booking and reservation platforms, and local business listings ("Third-Party Services"). These are provided for your convenience, and Pinby does not control, endorse, or assume responsibility for any Third-Party Services, including their content, accuracy, availability, pricing, terms, policies, or practices.
Your use of any Third-Party Services is governed solely by the terms and policies of the applicable third party, and you access and use them at your own risk. Pinby is not liable for any loss, damage, claim, or dispute arising from or related to your use of or reliance on any Third-Party Services, including any bookings, transactions, reservations, or communications with third parties.
13. Travel Content
The Service includes information about places, businesses, events, and travel destinations, including recommendations, reviews, ratings, hours, contact information, locations, and tips (collectively, "Travel Content"). Travel Content may be provided by Pinby, submitted by users, or extracted from third-party sources, and is offered for informational and personal planning purposes only.
Pinby does not verify, endorse, or guarantee the accuracy, completeness, safety, legality, quality, availability, or suitability of any Travel Content, or of any location, business, or service referenced through the Service. Details such as hours of operation, pricing, menus, dietary and allergen information, accessibility, and availability change frequently, and you are solely responsible for confirming these details directly with the relevant business before relying on them.
You acknowledge that travel and visiting unfamiliar places involve inherent risks, including personal injury, illness, allergic reactions, property damage, delays, cancellations, and other unforeseen circumstances. You are solely responsible for evaluating Travel Content, verifying safety conditions and local laws, and making your own decisions regarding travel and patronage. Pinby is not liable for any loss, injury, damage, or inconvenience arising from or related to your use of or reliance on Travel Content or your interactions with any business or service referenced through the Service.
14. Limitation of Liability
IN NO EVENT WILL PINBY'S LIABILITY ARISING OUT OF OR RELATED TO THE CONTRACT (WHETHER IN CONTRACT OR TORT OR UNDER ANY OTHER THEORY OF LIABILITY) EXCEED THE TOTAL AMOUNT PAID BY YOU HEREUNDER IN THE TWELVE MONTHS PRECEDING THE LAST EVENT GIVING RISE TO LIABILITY. THE FOREGOING WILL NOT LIMIT YOUR PAYMENT OBLIGATIONS UNDER THE "PAYMENT OBLIGATIONS" SECTION ABOVE.
IN NO EVENT SHALL PINBY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR SERVICE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVERS, (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICE BY ANY THIRD PARTY, AND/OR (VI) THE DISCLOSURE OF INFORMATION PURSUANT TO THESE TERMS OF SERVICE OR PRIVACY POLICY. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
The Service is controlled and offered by Pinby from its facilities in the United States of America. Pinby makes no representations that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are responsible for compliance with local law.
15. Informal Dispute Resolution
Before filing any claim against Pinby, you agree to first contact Pinby at legal@pinby.app and provide a written description of the dispute, your contact information, and the specific relief you are seeking. You and Pinby agree to attempt in good faith to resolve the dispute informally for at least 30 days after Pinby receives your notice. If the dispute is not resolved within that period, either party may proceed as otherwise permitted under this Contract. Compliance with this Section is a precondition to filing any claim, and any applicable statute of limitations or contractual limitations period will be tolled during the informal resolution period.
16. Governing Law and Venue
This Contract and any dispute arising out of or related to it or the Service will be governed by the laws of the State of California, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You and Pinby agree that any dispute, claim, or controversy arising out of or related to this Contract or the Service that is not subject to informal resolution will be brought exclusively in the state or federal courts located in San Francisco County, California. You and Pinby consent to the personal jurisdiction of those courts and waive any objection to venue in those courts.
Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
17. Termination
This Contract will continue in full effect unless and until your account or this Contract is terminated as described herein. You have the right to deactivate your account at any time by contacting us at contact@pinby.app.
We or you may terminate the Contract on notice to the other party if the other party materially breaches the Contract and such breach is not cured within thirty days after the non-breaching party provides notice of the breach. We may terminate the Contract immediately on notice to you if we reasonably believe that you are using the Service in violation of applicable law.
We reserve the right to deactivate your account, delete your user information, and terminate this Contract at any time for any reason, or no reason, with or without notice. Without limiting the foregoing, Pinby may, in its sole discretion, publish policies whereby we delete your user information for prolonged inactivity. Upon any termination of this Contract, we will have no obligation to maintain or provide your information.
Upon any termination for cause by you or termination without cause by us, we will refund you any prepaid fees covering the remainder of the term of your subscription after the effective date of termination. Upon any termination for cause by us, you will pay any unpaid fees covering the remainder of the term of those subscriptions after the effective date of termination. In no event will any termination relieve you of the obligation to pay any fees payable to us for the period prior to the effective date of termination.

18. Indemnification
You shall defend, indemnify, and hold harmless Pinby from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, arising or resulting from your breach of this Contract, any information you have provided the Service, or your use or misuse of the Service. Pinby shall provide notice to you of any such claim, suit or demand. Pinby reserves the right to conduct the exclusive defense and control of any matter that is subject to indemnification under this section. In such case, you agree to cooperate with any reasonable requests assisting Pinby's defense of such matters.
19. Enforceability
If any provision of this Contract is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Contract will otherwise remain in full force and effect and enforceable. The failure of Pinby to exercise or enforce any right or provision of the Contract shall not constitute a waiver of such right or provision.
20. Statute of Limitations
Regardless of any statute or law to the contrary or the applicable dispute resolution process, any Claim or cause of action arising out of or related to use of the Service or under the Contract must be filed with Pinby within one (1) year after such Claim or cause of action arose or be forever barred.
21. Assignment
The Contract, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Pinby without restriction.
